These Terms of Service ("Terms") govern your use of the Gray & Co website at grayandco.store and the purchase of products through it. By browsing our site or placing an order, you agree to these Terms. Please read them.

Gray & Co operates from 6 Llankelly Place, Potts Point NSW 2011.

1. Governing Law

These Terms are governed by the laws of New South Wales, Australia. You agree to submit to the non-exclusive jurisdiction of the courts of New South Wales for the resolution of any dispute arising under or in connection with these Terms. Nothing in these Terms limits rights you may have under the Australian Consumer Law (ACL) or other non-excludable statutory protections.

2. Products and Availability

We do our best to keep product descriptions, images, and availability accurate. However, we reserve the right to limit quantities, discontinue products, or correct errors at any time. If a product becomes unavailable after you've placed an order, we'll contact you promptly to offer an alternative, store credit, or a full refund.

Product colours and finishes may appear slightly different on screen from the physical item due to monitor calibration and photographic lighting. Vintage and antique pieces are described and photographed as accurately as possible; inherent age-related characteristics are not considered defects.

3. Pricing

All prices are in Australian dollars (AUD) and include GST where applicable. Prices are subject to change without notice. If a pricing error occurs on our website and an order is placed at an incorrect price, we reserve the right to cancel the order and issue a full refund. We will contact you before taking this step so you can decide whether to proceed at the correct price.

4. Orders and Contract Formation

Your order constitutes an offer to purchase. A binding contract is formed when we send you an order confirmation email. We reserve the right to refuse or cancel any order at our discretion, including in cases of suspected fraud, pricing errors, or stock discrepancies. If we cancel your order, you will receive a full refund.

5. Custom and Made-to-Order Items

Custom pieces — including custom bedheads and any item made to your specified dimensions, fabric, or finish — are made to order and are non-refundable except where they are faulty or not as described. Before commencing production, we will confirm your specifications in writing. Responsibility for design decisions, dimensions, and fabric selections rests with you once written confirmation is provided. Lead times for custom orders will be agreed at the time of ordering.

6. Payment

We accept the payment methods shown at checkout. Payment is taken at the time of order. For custom or special order items, a deposit may be required at the time of order, with the balance due prior to dispatch.

7. Shipping

Delivery terms are set out in our Shipping Policy. We are not liable for delays caused by carriers, customs, or circumstances outside our control.

8. Returns and Refunds

Our Returns & Refunds Policy forms part of these Terms. Your rights under the ACL are not limited by our policy.

9. Intellectual Property

All content on this website — including text, photography, graphic design, product descriptions, and branding — is the property of Gray & Co or its content suppliers and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on this site without our prior written consent. Sharing individual product images on social media with credit to Gray & Co is welcome.

10. User Conduct

When using our website and customer account features, you agree not to: use the site for any unlawful purpose; submit false information; engage in fraudulent transactions; interfere with the site's technical operation; or attempt to gain unauthorised access to any part of the site or our systems. We reserve the right to terminate accounts and refuse service where these conditions are breached.

11. Disclaimer of Warranties

To the maximum extent permitted by law, Gray & Co makes no warranties beyond those implied by the ACL. The site is provided on an "as is" basis. We do not warrant that the site will be uninterrupted, error-free, or free of viruses. Nothing in this clause excludes or limits any non-excludable guarantee under the ACL.

12. Limitation of Liability

To the extent permitted by law, Gray & Co's liability for any claim arising from these Terms or any purchase is limited to: (a) the replacement or repair of the goods; (b) the supply of equivalent goods; or (c) a refund of the amount you paid. We are not liable for any indirect, consequential, special, or incidental loss arising from your use of the site or the goods, except where required by the ACL.

13. Dispute Resolution

If a dispute arises, we encourage you to contact us first at gray@grayandco.com.au — most issues can be resolved quickly and informally. If we can't reach a resolution within 30 days of you notifying us, either party may refer the dispute to mediation through the Australian Disputes Centre or a comparable mediation service agreed by both parties, before commencing litigation. This clause does not limit your right to seek urgent interlocutory relief from a court.

14. Force Majeure

We are not liable for any failure or delay in performing our obligations where that failure or delay results from circumstances beyond our reasonable control — including but not limited to natural disasters, pandemic, government action, industrial action, power or telecommunications failure, or carrier disruption. We will notify you of any material delay and make reasonable efforts to fulfil your order as soon as circumstances allow.

15. Changes to These Terms

We may update these Terms from time to time. The current version will always appear on this page with an updated date. Continued use of the site after a change constitutes acceptance. Changes do not affect orders already placed.
